Please read these terms carefully before using Trilliant Software's HR automation, payroll management, attendance management, and compliance management platform. By accessing our services, you agree to be bound by the following terms.
Acceptance of terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you (the "Customer" or "User") and Trilliant Software Pvt Ltd, a company incorporated under the Companies Act, 2013, having its registered office at 3rd Floor, 323, Gera Imperium Alpha, Rajaram Patil Nagar, Kharadi, Pune, Maharashtra 411014, India ("Trilliant", "we", "us", or "our").
By registering for, accessing, or using any of our software products or services ("Platform"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" — the cloud-based HR automation software and related services provided by Trilliant Software, accessible via web browsers and mobile applications.
- "Customer" — any organisation or individual that subscribes to or uses the Platform for business purposes.
- "User" — any employee, contractor, or representative of the Customer who is granted access to the Platform.
- "Subscription" — the paid or trial access plan selected by the Customer, including all applicable modules and features.
- "Customer Data" — all data, records, and information uploaded to or processed on the Platform by the Customer or its Users, including employee records and payroll data.
- "Services" — the software modules, features, support, and related services described in Section 3 of these Terms.
- "Statutory Requirements" — applicable Indian labour laws, tax regulations, and compliance obligations including PF, ESI, TDS, PT, and LWF.
Our services
Trilliant Software provides a cloud-native HR automation platform focused exclusively on the following modules for Indian businesses:
The scope of Services under each module is as described on our website and in the product documentation at the time of subscription. Trilliant reserves the right to update, modify, or enhance the Platform's features at any time, provided such changes do not materially reduce the core functionality you have subscribed to.
Eligibility & registration
To use the Platform, you must:
- Be a registered business, company, partnership, or sole proprietor operating in India or with a presence in India.
- Be at least 18 years of age if using the Platform as an individual User.
- Provide accurate, current, and complete registration information, including a valid business email address and company details.
- Maintain and promptly update your account information to keep it accurate and complete.
Trilliant reserves the right to decline registration or suspend access if the information provided is found to be false, misleading, or in violation of these Terms.
Account & access
Account responsibility: The Customer is responsible for maintaining the confidentiality of all login credentials associated with their account and for all activities that occur under their account.
Administrator access: The Customer must designate at least one account administrator responsible for managing User access, permissions, and data within the Platform.
Unauthorised access: You must immediately notify Trilliant at support@trilliantsoftware.com of any unauthorised use of your account or any other breach of security.
Access limits: Your subscription tier determines the number of Users who may access the Platform. Adding Users beyond your subscribed limit may require a plan upgrade and additional charges.
No sharing: User credentials are personal and non-transferable. Sharing login credentials between multiple individuals is strictly prohibited.
Subscription & billing
Pricing: Trilliant Software offers subscription plans starting at ₹49 per user per month, billed monthly or annually as selected at the time of purchase. Current pricing is published on our website and is subject to change with 30 days' prior notice.
Billing cycle: Subscriptions are billed in advance on a monthly or annual basis depending on your chosen plan. All amounts are in Indian Rupees (INR) and are exclusive of applicable taxes including GST.
Payment: Payment is due on the billing date specified in your account. Failure to make timely payment may result in suspension of access to the Platform after a 15-day grace period.
Taxes: The Customer is responsible for all applicable taxes, duties, and levies under Indian law. GST will be charged at the prevailing rate on all invoices.
Refunds & cancellations: Refund and cancellation requests are governed by our Refund & Cancellation Policy, which forms part of these Terms by reference.
Acceptable use policy
You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You must not:
- Use the Platform to process data in violation of any applicable Indian law, regulation, or statutory requirement.
- Attempt to reverse-engineer, decompile, disassemble, or derive source code from any part of the Platform.
- Upload or transmit any viruses, malware, ransomware, or other harmful code through the Platform.
- Attempt to gain unauthorised access to any part of the Platform, its infrastructure, or other customers' data.
- Use the Platform to send unsolicited communications, spam, or engage in any fraudulent activity.
- Sublicense, resell, or transfer access to the Platform to any third party without Trilliant's prior written consent.
- Use the Platform in any way that places an unreasonable or disproportionate load on our infrastructure.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Data, privacy & security
Data ownership: All Customer Data uploaded to or processed on the Platform remains the sole property of the Customer. Trilliant does not claim ownership of Customer Data.
Data processing: Trilliant processes Customer Data solely to provide, maintain, and improve the Platform's Services, and in accordance with the Customer's instructions. We do not sell Customer Data to third parties.
Privacy Policy: Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to read it carefully.
Security measures: Trilliant implements industry-standard technical and organisational measures to protect Customer Data against unauthorised access, alteration, disclosure, or destruction, including encrypted data transmission (TLS 1.2+), role-based access controls, and regular security audits.
Compliance obligations: The Customer is responsible for ensuring that data submitted to the Platform — including employee personal data — is collected and processed in compliance with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDPA).
Data retention: Customer Data is retained for the duration of the subscription and for 90 days after termination, following which it will be permanently deleted unless retention is required by applicable law.
Intellectual property
Platform ownership: The Platform, including all software, code, design, user interface, content, trademarks, and documentation, is the exclusive intellectual property of Trilliant Software Pvt Ltd and is protected under Indian copyright, trademark, and intellectual property laws.
Licence grant: Subject to your compliance with these Terms and payment of applicable subscription fees, Trilliant grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during the subscription term.
Restrictions: This licence does not permit you to copy, modify, adapt, translate, create derivative works from, or distribute any part of the Platform without prior written consent from Trilliant.
Feedback: If you provide Trilliant with suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant Trilliant a royalty-free, worldwide licence to use such Feedback without restriction or compensation to you.
Customer branding: Nothing in these Terms grants Trilliant the right to use your company name, logo, or trademarks for marketing or promotional purposes without your prior written consent.
Confidentiality
Each party agrees to keep confidential all information disclosed by the other party that is designated as confidential or that, by its nature, would reasonably be understood to be confidential ("Confidential Information").
Confidential Information includes, but is not limited to: business plans, financial data, employee records, product roadmaps, pricing structures, and technical specifications.
Each party agrees to:
- Use Confidential Information only for the purposes of fulfilling obligations under these Terms.
- Not disclose Confidential Information to any third party without prior written consent from the disclosing party.
- Protect Confidential Information using at least the same degree of care used to protect its own confidential information, and no less than reasonable care.
These obligations do not apply to information that is or becomes publicly known through no breach of these Terms, or that a party is required to disclose by law or valid court order.
Availability & service levels
Trilliant endeavours to maintain high platform availability. We target 99.5% uptime on a monthly basis, excluding scheduled maintenance and events beyond our reasonable control.
Scheduled maintenance: Planned maintenance will be notified at least 24 hours in advance via email or in-platform notification. We aim to perform maintenance during off-peak hours to minimise disruption.
Support: Trilliant provides 24/7 customer support via phone, email, and live chat. Support requests are prioritised based on severity and subscription tier. See our Refund & Cancellation Policy for service credit entitlements in the event of downtime exceeding the SLA.
Third-party services: The Platform may integrate with or depend on third-party services (such as EPFO, ESIC, or banking APIs). Trilliant is not responsible for downtime or disruptions caused by third-party providers.
Limitation of liability
To the fullest extent permitted by applicable law:
- Trilliant's total aggregate liability to the Customer for any claims arising out of or related to these Terms or the Platform shall not exceed the total fees paid by the Customer in the 3 months immediately preceding the event giving rise to the claim.
- Trilliant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if Trilliant has been advised of the possibility of such damages.
- Trilliant is not responsible for errors in statutory calculations arising from incorrect data entered by the Customer or its Users.
- Trilliant does not provide legal, tax, or accounting advice. Customers are responsible for verifying compliance outputs against applicable law with their own qualified advisors.
Nothing in these Terms limits Trilliant's liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be excluded under applicable Indian law.
Indemnification
The Customer agrees to indemnify, defend, and hold harmless Trilliant Software Pvt Ltd, its directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform in violation of these Terms or applicable law.
- Customer Data, including any claim that the Customer Data infringes the rights of a third party.
- Any breach of your representations, warranties, or obligations under these Terms.
- Incorrect or fraudulent information provided during registration or use of the Platform.
Trilliant reserves the right to assume exclusive control of the defence of any matter subject to indemnification by the Customer, at the Customer's expense.
Termination
By the Customer: The Customer may cancel their subscription at any time through Account > Billing or by contacting our support team. Termination takes effect at the end of the current billing cycle unless a refund is applicable under our Refund & Cancellation Policy.
By Trilliant: Trilliant may suspend or terminate your access to the Platform immediately and without notice if:
- You breach any material provision of these Terms and fail to remedy the breach within 7 days of written notice.
- Payment is overdue by more than 15 days.
- You use the Platform for any unlawful purpose.
- Trilliant is required to do so by applicable law or a valid court order.
Effect of termination: Upon termination, your right to access the Platform ceases immediately. Customer Data will be available for export for 90 days post-termination, after which it will be permanently and securely deleted.
Survival: Sections relating to Intellectual Property, Confidentiality, Liability, Indemnification, and Governing Law survive termination of these Terms.
Governing law & dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Dispute resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.
Jurisdiction: If the dispute cannot be resolved through negotiation, the parties submit to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
Consumer grievances: For Consumer Protection Act, 2019 matters, complaints may be addressed to our Grievance Officer at support@trilliantsoftware.com.
Changes to these terms
Trilliant reserves the right to modify these Terms at any time. We will provide at least 14 days' advance notice of material changes via email to the registered Customer email address or via a prominent in-platform notification.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and cancel your subscription before the changes take effect.
The most current version of these Terms will always be available at trilliantsoftware.com/terms-conditions. We encourage you to review them periodically.
